These Terms and Conditions ("Terms") govern your use of the CustomSolutions.ai platform and services ("Service") operated by Realtime Comms Ltd, a company registered in England and Wales ("Company", "we", "us", or "our").

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

2. Service Description

CustomSolutions.ai provides voice AI agent services, including but not limited to:

  • AI-powered voice agents for telephony
  • Web-based voice widgets
  • API access for voice AI integration
  • Related tools and dashboard services

3. Account Registration

To use certain features of the Service, you must register for an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your information to keep it accurate
  • Maintain the security of your account credentials
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorised access

4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe on the rights of others
  • Transmit harmful, offensive, or illegal content
  • Engage in fraudulent or deceptive practices
  • Interfere with or disrupt the Service
  • Attempt to gain unauthorised access to our systems
  • Use the Service for unsolicited communications (spam)
  • Impersonate any person or entity

5. Healthcare and Regulated Industries

Important Notice for Healthcare Users

If you use our Service in connection with healthcare, medical, or other regulated industries, you acknowledge and agree to the following additional terms.

5.1 Your Compliance Responsibilities: You are solely responsible for ensuring your use of the Service complies with all applicable laws, regulations, and industry standards, including but not limited to:

  • UK Data Protection Act 2018 and UK GDPR
  • NHS Data Security and Protection requirements
  • HIPAA (if operating in the United States)
  • Professional medical and healthcare regulations
  • Any other applicable healthcare or data protection laws

5.2 No Medical Advice: The Service does not provide medical advice, diagnosis, or treatment. AI agents are not substitutes for qualified healthcare professionals. You must ensure appropriate human oversight of all healthcare-related interactions.

5.3 Configuration Responsibility: You are solely responsible for:

  • Properly configuring AI agents for your use case
  • Creating appropriate system prompts and safeguards
  • Ensuring AI responses are appropriate for your patients/clients
  • Implementing necessary human review processes
  • Training your staff on proper use of the Service
  • Obtaining necessary patient/client consents

5.4 Business Associate Agreement: If you require a Business Associate Agreement (BAA) for HIPAA compliance, you must contact us to execute such agreement before processing any protected health information (PHI) through the Service.

5.5 Disclaimer of Healthcare Liability: We provide tools and infrastructure. We are not responsible for how you configure, deploy, or use AI agents in healthcare settings. Any harm, misdiagnosis, misinformation, or adverse outcomes resulting from your use or misconfiguration of the Service in healthcare contexts is solely your responsibility.

6. Fees and Payment

6.1 Pricing: Our current pricing is $0.12 per minute of voice AI usage, billed in one-minute increments (rounded up). Phone numbers are charged at $2.00 per month.

6.2 Credits: You must maintain a positive credit balance to use the Service. Credits are non-refundable except as required by law.

6.3 Price Changes: We reserve the right to modify pricing with 30 days' notice.

6.4 Taxes: Prices exclude VAT and other applicable taxes, which will be added where required.

7. Intellectual Property

7.1 Our Property: The Service, including its original content, features, and functionality, is owned by Realtime Comms Ltd and is protected by intellectual property laws.

7.2 Your Content: You retain ownership of content you create or upload. By using the Service, you grant us a licence to process your content as necessary to provide the Service.

7.3 Feedback: Any feedback, suggestions, or ideas you provide may be used by us without obligation to you.

8. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

8.1 Call Data: Calls processed through the Service may be logged for billing, quality assurance, and service improvement purposes. You are responsible for informing callers of any recording or AI interaction as required by applicable laws.

8.2 Data Retention: We retain call logs and transcripts in accordance with our Privacy Policy. You may request deletion of your data subject to legal retention requirements.

9. Service Availability

9.1 Availability: We strive to maintain high availability but do not guarantee uninterrupted service. The Service may be temporarily unavailable for maintenance or due to circumstances beyond our control.

9.2 Modifications: We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

10. Limitation of Liability

10.1 To the maximum extent permitted by applicable law, Realtime Comms Ltd and its directors, employees, partners, agents, suppliers, or affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation:

  • Loss of profits, revenue, or business
  • Loss of data or goodwill
  • Service interruption
  • Computer damage or system failure
  • The cost of substitute services
  • Any damages arising from healthcare or medical use of the Service

10.2 Our total liability for any claims arising from or relating to these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

10.3 Nothing in these Terms shall limit or exclude our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Realtime Comms Ltd and its officers, directors, employees, agents, and successors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:

  • Your access to or use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your configuration or deployment of AI agents
  • Any healthcare or regulated industry use of the Service
  • Any claims made by your end users, patients, or clients

12. Termination

12.1 We may terminate or suspend your account immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason at our sole discretion.

12.2 You may terminate your account at any time by contacting us. Upon termination, your right to use the Service will immediately cease.

12.3 Unused credits are non-refundable upon termination except as required by law.

13. Governing Law and Disputes

13.1 These Terms shall be governed by and construed in accordance with the laws of England and Wales.

13.2 Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the modified Terms.

15. General Provisions

15.1 Entire Agreement: These Terms constitute the entire agreement between you and Realtime Comms Ltd regarding the Service.

15.2 Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in effect.

15.3 Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

15.4 Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
